Barbara is an attorney with Vandeventer Black and concentrates her law practice on federal income tax, corporate and securities matters. Her tax practice focuses on corporate acquisitions and reorganizations, pass-through entities, and tax-exempt organizations. Her corporate and securities practice is based on representing issuers in connection with securities offerings and other financial transactions.
Some of her relevant experience includes serving as issuer’s counsel on the issuance of over $30 billion of asset-backed securities; serving as issuer’s counsel on taxable bond issuances, commercial paper and other debt programs; representing issuers on the formation of real estate investment trusts (REITs); representing regulated investment companies in the evaluation of financial products and formation of mutual funds; representing private issuers of equity securities and structured finance transactions; structuring the tax-free spin-off of numerous corporate subsidiaries of a large closely-held company and formation of holding company and representing public and private companies involved in corporate merger and acquisition transactions.
Barbara has an extensive legal career in her practice areas, beginning with Hunton & Williams doing corporate tax and financial transactions work. She also served as President and General Counsel of Lawyer’s Staffing Inc.
Barbara earned a J.D. from The College of William & Mary School of Law, where she served as Research Justice on the Moot Court Board and a B.A. in Psychology from the College of William & Mary. She has participated in the William & Mary Law School Co-Counsel and Mock Interview Programs.
She is licensed to practice in Virginia and has been involved in numerous civic and community organizations, including serving as past chair of the Mentoring Committee of the Greater Peninsula Women’s Bar Association.
