Our cases have included the defense of direct and derivative claims asserting breach of fiduciary duty, corporate opportunity violations, conflict of interest matters and transactions, fraud, “deepening insolvency” and other corporate control disputes.  We are also called on to counsel and represent company directors and officers in federal, state, administrative and self-regulatory enforcement actions.  We have handled many of these matters as panel counsel for D&O carriers.
