Business
Vandeventer Black's Business Practice team provides a wide variety of services for our clients, ranging from start-up to sale, merger or dissolution of all types of legal entities. We provide general and specialized business counsel, representation and advice for clients of all sizes who are involved in virtually all aspects of Virginia, North Carolina, national and foreign economies.
Our clients include business trusts, non-profits, “S” and “C” corporations, general, limited, and limited liability partnerships and limited liability companies. After formation of a business entity, we work with clients as a team responding to business and legal issues arising in the ordinary course of business, for example, contracting and tax planning, as well as extraordinary events such as raising capital, mergers, reorganizations, sales and redemptions.
Our business attorneys are experienced in the sale and purchase of companies, entities and assets, including leveraged acquisitions and divestitures. We structure secured transactions and international transactions. Drafting, negotiating and reviewing contracts is a standard part of our practice. Our securities experience includes private placements, regulation D offerings and IDA bonds. We are also seasoned in the areas of suretyship bonds, performance and payment construction bonds and Fiduciary Bonds.
Our Business Law department includes seasoned real estate attorneys who work with clients on commercial and residential real estate transactions. The broad real estate practice includes condemnation matters, landlord/tenant issues, title disputes, land use/development, riparian rights, foreclosures, commercial leases and community association law and representation of municipalities. In North Carolina, two of our attorneys are Board-Certified Specialists in Real Estate Law for Business, Commercial, and Industrial Transactions.
Our Business attorneys respond to all business needs and issues, working with clients for quick and low-cost solutions. Where appropriate, our business attorneys team with the firm’s Labor, Health Care, Tax and Benefits Planning and Bankruptcy teams, who offer specialized assistance in resolving routine or unique business problems.
